Terms of sale and delivery

1. Introduction
These general sales and delivery conditions apply to all sales and deliveries from Zolw AS. Anyone who receives an offer, order confirmation or goods from Zolw, or as on
is otherwise in contact with Zolw in connection with a possible or completed purchase / delivery of goods from
Zolw is referred to as the "Buyer".
The buyer's possible standard terms and conditions only apply if this has been confirmed in writing by Zolw at the latest
the time of entering into the agreement. Acceptance of an order with reference to the Buyer's standard terms,
thus does not mean that Zolw simultaneously accepts these without this being specifically agreed.
In addition to the sales and delivery conditions, the general delivery conditions according to NL 09 apply, which supplement Zolw AS 'sales and delivery conditions. In the event of a conflict or other discrepancy between the terms of sale and delivery and NL 09, Zolw's terms of sale and delivery take precedence.
If Zolw has accepted the Buyer's or others' delivery terms and there is a conflict,
between the terms of sale and delivery and such other terms, have sales and
the delivery conditions take precedence, unless otherwise expressly deviated by written agreement between
authorized representatives of both parties.

2. Prices and offers
The prices are based on Zolw's current list prices at the time of invoicing. All prices are stated excluding VAT. Environmental fee is included in the selling price of stock items. For
Ordering goods from a subcontractor may incur an environmental fee.
Price changes may occur due to unforeseen changes in Zolw's purchase prices. Zolw therefore reserves the right to change prices and discounts without special notice. Price offers are based on the offer day's prices. Price offers are valid for 30 days from the time they are sent to the Buyer. By changing prices from Zolw's subcontractors, the offer prices can be adjusted proportionally.

3. Environmental supplements, cutting supplements and packaging breaks and other supplements.
For goods ordered from a subcontractor, the Buyer will be charged with costs such as shipping,
handling fee, race supplement etc.

Our suppliers separate the drum from the cable price and invoice this as a separate line.
Drum and formwork are therefore normally not included in the cable price. Drums are formulated as needed
or at the customer's request. Ordering of empty drums is done in accordance with RS Trommelservice AS's conditions which can be read at http://www.trommelservice.no.
Return of drums takes place via Bring's terminals. The nearest reception terminal can be found at the following

Transport to the receiving terminal is paid for by the sender. Formwork is not returned. Disposable drums and plastic drums can be returned to our central warehouse, but have no repurchase value.

4. Payment terms and invoicing
Payment terms are net 20 days, unless otherwise agreed in writing. After maturity, interest is calculated according to morarenteloven. Buyer's complaint about insignificant defects does not exempt Buyer from paying the purchase price in full.
Invoicing is done electronically in PDF format to the customer's specified e-mail address. By paper invoice
there is an invoice fee of DKK 45 per invoice.

5. Delivery
Shipping
Shipping normally takes place via Zolw's distribution systems EXW (Ex Works) unless DDP (Duty Delivery Paid) has been agreed in writing. DDP shall in no case be deemed to have been agreed upon by the following consignments:
• Goods with a high freight calculation, ie special goods such as volume and long goods ≥ 3m, cable drums and
heavier material, e.g. pipes, rails, ladders, large cabinets, solar panels as well
galvanized material and the like.
• Special transport of cable cars and containers to and from facilities.
• Urgent deliveries by courier, express freight, air freight and the like.
• Return shipping and collection of empty drums, with the exception of incorrect deliveries.
In the case of delivery directly from the manufacturer, delivery shall be deemed to have taken place at the time the goods are made available to the Buyer at the specified location.
Pallets, cable drums and other special packaging are further charged to the Buyer. Buyer is not entitled to
return such special packaging to Zolw.
Shipping zone surcharges are charged at the following rates:


Eastern Norway 2.5%
Sørlandet 2.5%
Western Norway 3.5%
Trøndelag 4.0%
Northern Norway 4.5%

- for pallets with solar panels, the shipping is 1 500, - per pallet to Eastern Norway, Southern Norway.

- for pallets with solar panels, the freight is 1 600, - per pallet to Western Norway, Trøndelag

- for pallets with solar panels, the freight is 1 800 per pallet to Northern Norway

 

 

Delivery time
Delivery time is stated in the order confirmation sent to the Buyer.
Deviations from this may occur if the Buyer has not provided Zolw with the necessary technical or other information within the agreed time. The stated delivery time is indicative, unless it is explicitly stated in writing in the order confirmation or in a written agreement that the stated delivery time is binding.
Goods which at this point are defined as "special goods" may have extra delivery time.
When invoicing and delivering procured goods, Zolw takes a limited responsibility for the delivery time
see point. 8.

 

In the case of intermediate sales, the delivery time may deviate from that stated in the offer.

6. Return conditions
Approval of return of goods
• Return can only take place when it has been agreed in writing. There must always be a reference to the original order or invoice number. The goods are sent to the specified place.
• The goods must be purchased by Zolw, be in the original packaging, be current and salable.
• Zolw's inventory and withdrawal frequency determine whether the item is salable.
• All returns are sent to Zolw with shipping paid. If not, the credit note is reduced by the carrier's
regulatory price for the shipment. Alternatively, a minimum of NOK is charged. 250, -, for return transport.
• Return from project must be agreed separately with Zolw.


Items delivered from Zolw's warehouse
• Incorrect deliveries are credited 100% according to the invoiced price, and the shipping costs are covered by Zolw.
• Other returns are only accepted if the item is in the original packaging, in good condition, stocked and
salable. The return is then credited with 80% of the invoiced price, excl. any fees and shipping zone.
Items with a total invoice value of less than DKK. 1000, - is not taken back.
• In some cases, cut cable in salable lengths and at least 50 m delivered length can be accepted with a return fee of 30%.
• If the packing slip number / invoice number is not known and / or the packaging is broken, the return in
some cases are accepted, but are then credited on the basis of the list price, minus the contract discount, minus 50%.


Items delivered from subcontractor / not stocked at Zolw
Returns of non-stocked (standard) goods must always be agreed and can only be credited according to
further agreement after this has been accepted by the subcontractor. In these cases, the item is returned to
Zolw with reference to the reference (return number) provided by Zolw.
When returning procured goods, the credited amount from the manufacturer will be credited to the buyer with a 20% deduction.


Items in special design, possibly assembled
Items in special designs are not returned if Zolw is unjustified in the return reason. In very special cases, it can be agreed and credited, but this presupposes in all cases that the manufacturer agrees to take the product back.
When returning goods in a special version, the credited amount from the manufacturer will be credited to the buyer by 20%
deduction.

7. Buyer's duty to inspect
The buyer is obliged to check that the delivery is in accordance with the contract as soon as it is received and before
the delivery is resold, assembled, or otherwise used. Fails the Buyer to make such
investigations within 8 working days and the relationship should have been discovered, Zolws lapses
liability for defects according to point 8.


8. Deficiencies and delays
In the event of deficiencies and delays in stocked and listed material, the provisions of NL 09 generally apply.
In the event of through invoicing and delivery of procured goods, Zolw's is responsible for defects and delays
limited to the same terms and conditions as Zolw or Buyer are granted from the relevant
supplier / manufacturer.

9. Complaint
Complaints about transport damage or lack of number of packages must be made upon arrival of the goods, and damage
or defect must be stated in the consignment note and signed by the driver. Complaint about transport damage or
shortages in packaged goods must take place without undue delay and no later than 5 working days after arrival
with specification of the discrepancies.
Complaints about delays must be made immediately and no later than 5 working days after delivery should have
found place. Such complaints must be made in writing to Zolw. Buyer loses his
the right to make claims if it is not advertised in a timely manner. Zolw is under no circumstances
responsible for transport damage or shortage in the number of packages complained of later than 3
months after delivery.


10. Force majeure
Neither party shall be deemed to have breached an obligation, if fulfillment is hindered by circumstances
which under Norwegian law is considered force majeure. The other party must be notified immediately when it
a force majeure situation arises. In the event of force majeure, both parties may demand
delivery time postponed. Both parties can terminate the agreement if the force majeure situation lasts longer
than 360 days. Closed roads due to storms, pandemics, or other similar events, will in this
the agreement be considered a force majeure situation.

11. Limitations on Zolw's Liability
Zolw is not responsible for the Buyer's indirect losses. Indirect losses are considered, among other things
replacement costs, labor costs, losses due to the product not being able to be used as intended, losses due to damage to other than the product itself, damage due to the further use of the product, losses due to reduced or lost production or turnover, lost profits as a result that the contract with a third party lapses / is not fulfilled correctly, and claims from third parties.
In the event of through invoicing and delivery of procured goods, Zolw's liability for damages is limited to those
the same conditions as Zolw are granted by the relevant supplier / manufacturer.
In the event of deviations in price, quality or delivery time agreed directly between Buyer and Manufacturer / Supplier, this must be resolved between the same parties. Zolw will only carry out the written agreed transactions when satisfactory security is provided.
The limitation of liability does not apply if Zolw has acted intentionally or with gross negligence.


12. Sales pledge
Zolw has a sales lien on the delivered goods until the purchase price with the addition of interest and costs is
paid in full, cf. the Mortgage Act § 3-14, cf. § 3-22. Zolw may alternatively require other security for
the purchase price with the addition of interest and costs. Such a claim can be made after Zolw has accepted the order and until the goods have been delivered. The buyer is not entitled to resell delivered products that are encumbered with a sales pledge before the entire purchase price with costs has been paid.

13. Documentation of delivered products
Zolw will be able to present documentation on request that products supplied by Zolw are in
compliance with the Internal Control Regulations. This means that the products meet all the requirements accordingly
to Norwegian norms and guidelines for electrical equipment.
The products do not contain substances that are harmful to health and the environment, and conditions mentioned in the Fire and Explosion Protection Act have been taken care of. If goods contain chemical substances that may be
harmful or polluting, Zolw must provide data sheets for the item.
Documentation can be obtained without unnecessary delay.


14. Disputes
The contractual relationship between the Buyer and Zolw, as well as the terms of sale and delivery are subject to Norwegian
straight. All disputes must be resolved by negotiation. If the case can not be resolved amicably shall
Disputes in connection with the contractual relationship are finally settled by the ordinary courts in Norway. The parties have adopted the Oslo District Court as the right venue.
